End User License Agreement

This End User License Agreement (EULA) is a legal agreement between you and Genrupt Inc (Company) governing your access to and use of the Genrupt application, website, and related services (Product). By accessing or using the Product, you agree to this EULA.

1. License Grant

Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Product for your internal business purposes in accordance with this EULA.

2. Restrictions

You agree not to:

  • Reverse engineer, decompile, or attempt to derive the source code of the Product.
  • Resell, sublicense, or provide the Product to third parties except as expressly permitted by Company.
  • Use the Product in violation of applicable laws or third-party terms, including Amazon policies.
  • Interfere with or disrupt the integrity or performance of the Product.

3. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify Company immediately of any unauthorized use.

4. Data and Reports

If you connect third-party accounts (including Amazon SP-API), you authorize Company to access and process the data required to provide the Product features you enable. You represent that you have the right to grant such access. Company does not place orders or change listings on your behalf unless explicitly enabled by you.

5. Fees

Some features require payment. Fees, billing terms, and refunds are described in your subscription plan or purchase agreement.

6. Termination

Company may suspend or terminate access to the Product if you violate this EULA. You may stop using the Product at any time. Upon termination, your license to use the Product ends.

7. Disclaimer of Warranties

The Product is provided on an "as is" and "as available" basis. Company disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

To the maximum extent permitted by law, Company will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill.

9. Governing Law

This EULA is governed by the laws of the State of Kansas, without regard to conflict of law principles.
