Terms of Service

These Terms of Service ("Terms") govern your access to and use of Genrupt — the Genrupt website, applications, Chrome extension, APIs, and AI-powered content generation services (together, the "Service") provided by Genrupt Inc ("Genrupt", "we", "us"). By creating an account or using the Service, you agree to these Terms.

1. The Service

Genrupt generates images, videos, audio, and marketing content for ecommerce sellers using artificial intelligence. Generation requests are fulfilled using a combination of our own systems and third-party AI model providers, as described in our Privacy Policy.

2. Accounts and Access

You must provide accurate account information and are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must be at least 18 years old and using the Service for business purposes.

3. Your Content

"Your Content" means everything you upload or submit to the Service — product images, reference images, audio recordings, prompts, product data, and connected-account data.

• You own it. You retain all ownership rights in Your Content.
• Limited license to us. You grant Genrupt a limited, non-exclusive license to host, process, reproduce, and display Your Content solely to operate, provide, and support the Service — including transmitting it to the third-party AI providers that fulfil your generation requests. This license ends when Your Content is deleted from the Service, except for copies in routine backups.
• No training. We do not use Your Content to train AI models.
• No marketing use without permission. We do not use Your Content or your generated results to market Genrupt unless you give us permission.
• You are responsible for rights. You represent that you have the rights needed to upload and process Your Content. If Your Content includes a real person's face, likeness, or voice, you must have that person's consent to use it for AI generation.

4. Generated Content

To the extent Genrupt holds any rights in the images, videos, audio, or text generated for you by the Service ("Generated Content"), we assign those rights to you upon generation, subject to these Terms and payment of applicable fees.

• AI-generated material may not be eligible for copyright protection in some jurisdictions, and similar or identical outputs may be generated for other users.
• You are responsible for reviewing Generated Content before using it and for ensuring your use complies with applicable law and platform rules (including Amazon's policies for listing content).

5. Credits

• Top-up credits do not expire for as long as your account remains open — including after you cancel a subscription.
• Plan credits included with a subscription are allocated each billing cycle and reset at the start of the next cycle, as disclosed on the plan page.
• Credits are a prepaid license to use the Service. They have no cash value, are non-transferable, and are not redeemable for money except where required by law or expressly provided in these Terms.
• Unused credits lapse if you close your account or if we terminate your account for violating these Terms.
• If we ever discontinue the Service, we will give reasonable advance notice and refund the unused balance of credits you purchased as top-ups.

6. Subscriptions, Billing, and Refunds

• Subscriptions are billed monthly and renew automatically until cancelled. You can cancel at any time; cancellation takes effect at the end of the current billing cycle, and you keep access (and your purchased top-up credits) in the meantime.
• Payments are processed by Stripe. We do not store your card details.
• If a generation fails, the credits for that generation are automatically returned to your balance.
• You may request a full refund of a top-up credit purchase within 14 days if the credits are unused. Subscription fees for the current billing cycle are non-refundable, but you keep access through the end of the cycle. To request a refund, email hello@genrupt.com.

7. Acceptable Use

You may not use the Service to:

• violate any law or the rights of others, including intellectual property rights;
• generate content depicting a real person's face, likeness, or voice without that person's consent, or content intended to deceive, impersonate, or defame;
• violate the rules of third-party platforms you use the Service with, including Amazon and the Chrome Web Store;
• interfere with the Service, attempt unauthorized access, or attempt to extract our internal prompts, models, or other proprietary system components;
• resell or provide the Service to third parties as your own service.

We may suspend or terminate accounts that violate this section. Where practical, we will warn you first.

8. Third-Party Services

The Service depends on third-party AI model providers, infrastructure, and platform integrations. Their availability is outside our control, and specific models or features may change or become unavailable. Our Privacy Policy describes the third parties that process Your Content.

9. Genrupt's Intellectual Property

The Service itself — including software, models, prompts, workflows, designs, and trademarks — belongs to Genrupt and its licensors. If you send us feedback or suggestions, we may use them without obligation to you.

10. Copyright Complaints

If you believe content on the Service infringes your copyright, email hello@genrupt.com with the material identified, your contact information, and a statement of good-faith belief. We will review and, where appropriate, remove the material and act against repeat infringers.

11. Disclaimers

The Service is provided on an "as is" and "as available" basis, without warranties of any kind to the maximum extent permitted by law. AI-generated content can be inaccurate, incomplete, or unsuitable — you are responsible for reviewing it before use. We do not guarantee sales outcomes, platform approval, or uninterrupted availability.

12. Limitation of Liability

To the maximum extent permitted by law, Genrupt is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. Our total liability for all claims arising out of the Service is limited to the amounts you paid us in the twelve months before the claim arose.

13. Indemnification

You will indemnify Genrupt against third-party claims arising from Your Content, your use of Generated Content, or your breach of these Terms.

14. Termination

You can stop using the Service and close your account at any time. We may suspend or terminate the Service or your account for breach of these Terms, unlawful use, or extended non-payment. Sections that by their nature should survive termination — including ownership, disclaimers, and limitation of liability — survive.

15. Changes to These Terms

We may update these Terms as the Service evolves. If a change materially reduces your rights, we will notify you (for example by email or an in-product notice) before it takes effect. Continued use of the Service after a change takes effect constitutes acceptance.
